By accessing or using the Vendorfi platform ("Service"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Description of Service
Vendorfi provides a cloud-based vendor lifecycle management platform designed to help organizations manage vendor requests, evaluations, onboarding, and ongoing governance. The Service includes all software, data, reports, text, images, sounds, video, and content made available through any of the foregoing.
3. User Obligations
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to use the Service in compliance with all applicable laws and regulations. You shall not:
- Sublicense, resell, or lease the Service to third parties.
- Use the Service to store or transmit infringing, libelous, or otherwise unlawful material.
- Attempt to gain unauthorized access to the Service or its related systems.
- Reverse engineer or access the Service to build a competitive product or service.
4. Intellectual Property Rights
Vendorfi retains all right, title, and interest in and to the Service, including all intellectual property rights. You retain ownership of all data, information, or material that you submit to the Service ("Customer Data"). You grant Vendorfi a limited, non-exclusive license to use Customer Data solely to provide the Service to you.
5. Fees and Payment
Subscription fees are based on the plan selected at the time of signup. All fees are non-refundable except as required by law. Vendorfi reserves the right to change its fees upon at least 30 days' notice.
6. Limitation of Liability
To the maximum extent permitted by law, Vendorfi shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, or data, resulting from your use of the Service.
7. Termination
You may terminate your account at any time. Vendorfi reserves the right to suspend or terminate your access to the Service for any breach of these terms. Upon termination, your right to use the Service will immediately cease.
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Vendorfi is registered, without regard to its conflict of law principles.
9. Changes to Terms
Vendorfi reserves the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the new terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the new terms.
